Explanation of Responses: |
1. Shares received as per Debt Settlement Agreement between SIII and CMB Investments Ltd. CMB received 2,645,638 Rule 144 Reg S shares at a deemed price of $0.07 per share. |
2. CMB Investments Ltd. is a 100% wholly owned company of Ralph Shearing. |
3. On May 8, 2006 SIII entered into a Convertible Loan Facility Agreement with CMB Investments Ltd., a company owned by Ralph Shearing, whereby SIII would from time to time borrow operating funds from CMB with interest at a rate of 10% repayable on demand. CMB has the right to convert the loan into units of SIII, each unit consisting of one common share and one share purchase warrant exercisable at a conversion rate calculated at a discount to the average closing price for 10 days preceding a loan advance. |
