Explanation of Responses:
1. Shares withheld for taxes upon the settlement in shares of restricted stock units previously granted to the reporting person.
2. The reported transaction involves an award of restricted stock units under the M&T Bank Corporation 2009 Equity Incentive Compensation Plan. Each restricted stock unit represents a contingent right to receive one share of M&T Bank Corporation common stock upon vesting.
3. The restricted stock unit award includes a total of 3,119 shares. 935 shares of the restricted stock unit award will vest on January 29, 2012; an additional 936 shares will vest on January 29, 2013; and the remaining 1,248 shares will vest on January 29, 2014. The restricted stock unit award may also be subject to restrictions on transfer upon settlement. For more information, please see the Current Report on Form 8-K filed by M&T Bank Corporation on January 25, 2010.
4. The restricted stock units were granted under an incentive compensation plan maintained by M&T Bank Corporation, and therefore the reporting person paid no price for the shares.
5. Includes 34.2021 shares acquired between July 1, 2009 and December 31, 2009 through participation in the M&T Bank Corporation Dividend Reinvestment Plan.
6. These shares are owned by the son of the reporting person under the Uniform Transfers to Minors Act for which the reporting person is custodian.
7. These shares are owned by the daughter of the reporting person under the Uniform Transfers to Minors Act for which a member of the reporting person's immediate family is custodian.
