(the “Company”, Scope of or “EngageSmart”) whether, in Evercore’s opinion, the Consideration of $23.00 per share to be received by holders of the Company Common Assignment Stock, other than General Atlantic and its affiliates and certain officers of the Company, in the Transaction pursuant to the purchase agreement is fair, from a financial point of view, to such holders.
