The securities to be registered hereby are the Class A common stock and warrants of GCM Grosvenor Inc. (the “Company”). The description of the Class A common stock and warrants contained in the section titled “Description of GCM PubCo Securities” in the final prospectus and definitive proxy statement, dated October 14, 2020, filed with the Securities and Exchange Commission on October 15, 2020 and forming a part of the Company’s registration statement on Form S-4 (File No. 333-242297) (the “Registration Statement”) to which this Form 8-A relates is incorporated herein by reference.
