Explanation of Responses:
1. The shares of common stock (the "Common Stock") of PG&E Corporation (the "Issuer") reported herein are held directly by the PG&E Fire Victim Trust (the "Trust"). The Hon. John K. Trotter (Ret.) serves as the trustee (the "Trustee") of the Trust and, solely in such capacity, may be deemed to have beneficial ownership in the shares of Common Stock held by the Trust. The Trustee has no pecuniary interest in the shares of Common Stock held by the Trust and specifically disclaims beneficial ownership of such shares.
2. As described in the Issuer's Current Report on Form 8-K filed on June 24, 2020 and Current Report on Form 8-K filed on July 2, 2020, in certain circumstances, the Issuer may be required to issue additional shares of Common Stock to the Trust if the Issuer issues additional shares of Common Stock in connection with pre-petition claims pursuant to its Plan of Reorganization (the "Plan") or in connection with its equity units offering, such that the Trust would have owned 22.19% of the outstanding Common Stock (as calculated pursuant to the Plan) on the effective date of the Plan (the "Effective Date"), assuming that the issuance of such shares additional shares of Common Stock had occurred on the Effective Date.
