CONTENTS

On May 1, 2023, Mr. Chad Hellmann resigned as the Chief Financial Officer of NLS Pharmaceutics Ltd., or the Registrant. Mr. Hellmann will continue to provide transition services to the Registrant through May 31, 2023. Mr. Hellman’s resignation was not based on any material disagreement with the Registrant on any matter relating to its operations, policies or practice. The Registrant expresses its deep appreciation to Mr. Hellmann for his many contributions to the company.
