ITEM 5.03.  Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On and effective April 8, 2020, the Board of Directors of Vectrus, Inc. (the “Company”) approved and adopted amendments to Section 1 of the Amended and Restated By-Laws of the Company (the “By-Laws”). The amendments to the By-Laws (the “Amended By-Laws”) add language that enables the Board of Directors to determine that a meeting of shareholders may be held solely by means of remote communication in the manner and to the extent provided by Section 23-1-29-1 of the Indiana Business Corporation Law, as amended.
