Item 3.02 Unregistered Sales of Equity Securities.

 

From May 22, 2020 through May 28, 2020, certain institutional investors exercised warrants to purchase an aggregate of 5,451,725 shares of common stock of Genprex, Inc. (the “Company”) at an exercise price of $0.46 per share which warrants were acquired by such investors pursuant to the Company’s May 2018 and November 2019 private placements.  In addition, designees of the placement agent from the Company’s November 2019 registered direct offering and concurrent private placement cashlessly exercised warrants to purchase an aggregate of 139,710 shares of the Company’s common stock at an exercise price of $0.50 per share.

 

The issuances described above were made pursuant to an exemption from the registration requirements of the Securities Act of 1933, as amended, provided in Section 4(a)(2) thereof and/or Regulation D thereunder.
