Section 2 – Financial Information

Item 2.01 Completion of Acquisition or Disposition of Assets

On January 31, 2019, New Media Investment Group Inc. (the “Company”), through its wholly owned subsidiary (the “Purchaser”), completed the previously announced acquisition of the newspapers and related assets of Schurz Communications, Inc. (collectively, the “Acquired Assets”) pursuant to an Asset Purchase Agreement (the “Purchase Agreement”) effective as of January 15, 2019, by and among the Purchaser and the sellers named therein.

The Acquired Assets include ten daily newspapers, including South Bend, Indiana’s The South Bend Tribune and Bloomington, Indiana’s Herald-Times. Additionally, there are nine weekly and fourteen other community publications.

The purchase price for the acquisition was $30 million, subject to customary adjustments for working capital and assumed liabilities. The purchase price was funded with cash on hand.

The Purchase Agreement contains customary representations, warranties, and covenants by the sellers and the Purchaser. The Purchase Agreement also provides for certain customary indemnification rights following the closing of the acquisition.
