Item 5.02.    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 30, 2021, the Board of Trustees (the “Board”) of Ellington Residential Mortgage REIT (the “Company”) increased the size of the Board to eight trustees and appointed Mary McBride to fill the vacancy resulting therefrom. The Board also appointed Ms. McBride as a member of the Audit Committee, the Compensation Committee, and the Nominating and Corporate Governance Committee. There are no arrangements or understandings between Ms. McBride and any other persons pursuant to which she was appointed to serve on the Board.
Ms. McBride and the Company will enter into the Company's standard indemnification agreement in the form previously filed with the Securities and Exchange Commission providing for indemnification and advancement of expenses. In addition, Ms. McBride will be compensated for her service on the Board in accordance with the Company’s standard compensation policy for non-employee trustees.

On March 30, 2021, the Company issued a press release relating to the appointment of Ms. McBride as a trustee of the Company. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated into this Item 7.01 by reference. This press release shall not be deemed "filed" for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities under that section, nor shall it be deemed incorporated by reference into any filing made by the Company under the Exchange Act or the Securities Act of 1933, as amended, except as shall be expressly set forth by specific reference in such a filing.
