NQ Mobile Inc. (the “Company”) has not completed its annual report on Form 20-F for the fiscal year ended December 31, 2013 (the “2013 Form 20-F”). The Company plans to file the 2013 Form 20-F on or before the extended deadline permitted under Rule 12b-25 under the Securities Exchange Act of 1934, as amended.

Changes in the Company’s results of operations from 2012 to 2013 are reflected in the Company’s April 10, 2014 press release announcing its financial results for the fiscal year ended December 31, 2013. This press release was furnished to the Commission on the Company’s Current Report on Form 6-K on April 11, 2014. The Company expects that the results of operations reflected in the audited financial statements for the year ended December 31, 2013 filed with the Form 20-F will be consistent with its results of operations set forth in the April 10, 2014 press release.
