1. 50,000 shares are held by the Randall Charles McMullen, Jr. 2011 GRAT, of which Mr. McMullen, Jr. serves as trustee. The remaining 50,000 shares are held by the Tracy Alice McMullen 2011 GRAT, of which Mr. McMullen, Jr. serves as trustee.
2. These options, granted under the C&J Energy Services, Inc. 2006 Stock Option Plan, are all exercisable.
3. These options, granted under the C&J Energy Services, Inc. 2010 Stock Option Plan, are exercisable in accordance with the following schedule: 1/3 of the options shall become exercisable on each of the first, second, and third anniversaries of the date of grant (2/3/2011), subject to the earlier expiration of the options.
