Explanation of Responses:
1. Shares purchased in directed share program in connection with the Issuer's initial public offering.
2. This option vests and may be exercised, in whole or in part, as follows: 34% of the option vests and is exercisable on October 19, 2011 and the remaining 66% of the option vests and is exercisable in 2 equal annual installments beginning on October 19, 2012, subject to Mr. McCullough's continued service as a member of the board of directors of the Issuer through the applicable vesting date.
3. If a change in control of the Issuer occurs, and in connection with such change in control any unvested portion of the option is not assumed by, or substituted for, new options covering the stock of the surviving, successor or purchasing company, or a parent or subsidiary thereof, 100% of this option will vest upon the consummation of such change in control. Additionally, if, in connection with or during the 12-month period following the consummation of a change in control of the Issuer, Mr. McCullough is (a) removed from the board of directors without cause, (b) asked by the Issuer to resign from the board of directors, or (c) not nominated for re-election to the board of directors, then 100% of this option, or any new options, will vest immediately.
