Departure of Directors or Certain Officers; Election of Directors, Appointment of Certain Officers; Compensatory Arrangement of Certain Officers

(b) On August 5, 2019, Univar Inc. named Jeanette Press as Vice President, Corporate Controller and Principal Accounting Officer. Ms. Press, 43 years old, served as Vice President, Controller and Principal Accounting Officer of USG Corporation, a manufacturer of building materials, from 2014 to April 2019. Ms. Press entered into an offer letter materially consistent with the form used by the Company and will participate in the Univar Solutions Incentive Plan. She will also be eligible to participate in the Univar Solutions Long-Term Incentive Plan and Supplemental Valued Investment Plan. There are no related party transactions in which Ms. Press has a material direct or indirect interest.
