Explanation of Responses:

1. Award of restricted stock that vests in full on August 24, 2016.

2. An audit of Mr. Del Pizzo's account revealed that the Form 3 filed on January 15, 2015 under-reported his initial ownership by six (6) shares. The total number of securities beneficially directly owned by Mr. Del Pizzo has been updated to reflect these six (6) additional shares.

3. An audit of Mr. Del Pizzo's wife's account revealed that the Form 3 filed on January 15, 2015 over-reported her initial ownership by one (1) shares. The total number of securities beneficially indirectly owned by Mr. Del Pizzo through his wife's account has been updated to reflect one less share.

4. An audit of Mr. Del Pizzo's trust account revealed that the Form 3 filed on January 15, 2015 over-reported his initial ownership by six (6) shares. The total number of securities beneficially owned by Mr. Del Pizzo's trust has been updated to reflect six fewer shares.
