Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 5, 2018, Chris Storgard notified Fate Therapeutics, Inc. (the “Company”) of his intent to step down as Chief Medical Officer effective as of such date. Dr. Storgard will continue to provide services to the Company through December 31, 2018 under a consulting agreement. The Company is conducting a search for a replacement.
