Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 15, 2010, Ying Zhong was elected to replace Gian Barbieri as our European Managing Director.  Ms. Zhong, age 37, has been Chief Representative of our China Office since December 2007.

The board of directors elects our executive officers annually. A majority vote of the directors who are in office is required to fill vacancies.
