Explanation of Responses:

1. Anyuser, Inc. is the nominee of Hyundai Syscomm Corp., which is the indirect beneficial owner. Reporting Person is the 100% stockholder, President and Chief Executive Officer of Hyundai Syscomm Corp.

2. The Warrant is not exercisable unless the stockholders of MSGI approve of Hyundai Syscomm Corp. owning the underlying Common Stock and vests as MGSI recognizes revenues from business provided by Hyundai Syscomm Corp.
