Explanation of Responses:

1. Mr. Abbe is a member of Iroquois Capital Management L.L.C. who has the authority and responsibility for the investments made on behalf of Iroquois Master Fund Ltd. (the "Fund") and Iroquois Capital Investment Group LLC ("ICIG") and as such may be deemed to be the beneficial owner of all shares of common stock held by the Fund and ICIG. 4,816 shares of common stock were held by Fund and 1,963 shares of common stock were held ICIG. Warrants to purchase 225,750 shares of common stock are held by the Fund and warrants to purchase 86,000 shares of common stock are held by ICIG. Mr. Abbe disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein, and the inclusion of these shares in this report shall not be deemed an admission of beneficial ownership of all of the reported shares for purposes of Section 16 or for any other purpose.
