Item 8.01.  


On January 23, 2011, Bioheart, Inc. (the “Company”) announced in the Company’s Current Report on Form 8-K filed with the SEC that it has entered into a subscription agreement with Anc Bio Holdings, Inc., a South Korean biomedical company, and a subscription agreement with one of its U.S. agents, Bioheart Florida, LLC for a $4 million equity investment, in the aggregate. Funding of the investment was to be made ratably in 3 installments. On January 23, 2011 the Company did receive the initial 10% and is currently engaged in discussions with the investors to determine new timing for the funding of the remaining installments.
