Explanatory Note

 

On April 27, 2021, Palisade Bio, Inc. (the “Company”) filed with the Securities and Exchange Commission a Current Report on Form 8-K (the “Initial 8-K”) to report the completion of its previously announced merger transaction. This Amendment No. 1 to Current Report on Form 8-K amends the Initial 8-K solely to correct an administrative error to correct the new CUSIP number listed in the Explanatory Note therein. Defined terms not otherwise defined herein shall have the meaning ascribed to such terms in the Initial 8-K.

 

 

Item 8.01 Other Events.

 

The shares of Company Common Stock, previously trading on the Nasdaq Capital Market through the close of business on April 27, 2021 under the ticker symbol “SNCA,” commenced trading on the Nasdaq Capital Market, on a post-Reverse Stock Split adjusted basis, under the ticker symbol “PALI,” on April 28, 2021. The Company Common Stock is now represented by a new CUSIP number, 696389105.
