Dear Mr. Steinberg,

Pursuant to that certain Sub-Advisory Agreement between WisdomTree Asset Management, Inc. (the “Investment Adviser”) and Mellon Investments Corporation (the “Sub-Adviser”) dated as of January 1, 2013, as amended (the “Agreement”), the Sub-Adviser hereby provides the Investment Adviser with (i) an amended and restated Appendix A to the Agreement in the form attached hereto and (ii) amended and restated Appendices B-1, B-2, B-3, B-4 and B-9, as attached hereto.

In particular, this amendment does the following:

(a)

adds one (1) fund to Appendices A and B-2, specifically the WisdomTree Modern Tech Platforms Fund;

(b)

removes the following eight (8) funds from Appendix A, Appendices B-1, B-2, B-3 and B-4: (i) WisdomTree Asia Local Debt Fund, (ii) WisdomTree Australia Dividend Fund; (iii) WisdomTree Brazilian Real Strategy Fund; (iv) WisdomTree Japan Hedged Financials Fund; (v) WisdomTree Europe Domestic Economy Fund; (vi) WisdomTree Global SmallCap Dividend Fund; (vii) WisdomTree Global Hedged SmallCap Dividend Fund, and (viii) WisdomTree Japan Hedged Quality Dividend Growth Fund;

(c)

moves the following two (2) funds to Appendix B-9 : (i) WisdomTree Europe Multifactor Fund and (ii) WisdomTree Japan Multifactor Fund; and

(d)

changes the name of six (6) funds in Appendices A, B-1, and B-9, specified in the chart below.
