This Form 3 is being filed by the undersigned as well as the individual and entities listed on the Joint Filer Information Statement attached as Exhibit 24.1 hereto (collectively, the "Reporting Persons"). Each Reporting Person may be deemed to be part of a 13(d) group owning more than 10% of the securities of Alliance Holdings GP, L.P. For purposes of Section 16 of the Securities Exchange Act of 1934, each Reporting Person disclaims beneficial ownership of any such securities, except to the extent of his, her or its pecuniary interest therein, if any, and this report shall not be deemed an admission that such Reporting Person is the beneficial owner of such securities for purposes of Section 16 or otherwise.

2. These securities are owned by the Alan Kent Boswell Trust, of which the undersigned is trustee.

3. These securities are owned by the Linda Knight Boswell Trust, of which Linda K. Boswell, the wife of the undersigned is trustee.
