1. Represents the indirect holdings of Vicis Capital LLC. All of the foregoing represents securities held directly by Vicis Capital Master Fund. Vicis Capital LLC acts as investment advisor to Vicis Capital Master Fund and therefore has voting and dispositive power over all the foregoing shares. For the purposes of Rule 13d-3 under the Securities Exchange Act of 1934, as amended, Vicis Capital LLC may be deemed to be the beneficial owner of, but hereby disclaims such beneficial ownership of, the foregoing shares. |

3. Pursuant to certain agreements between Vicis and the Issuer, the Series A Convertible Preferred Stock and the Series B Convertible Preferred Stock automatically converted into shares of the Issuer's Common Stock immediately prior to the Issuer's initial public offering (the "IPO") at a price of $2.96, which is equal to 60% of $4.9333 (the price per share of Common Stock offered in the IPO). In addition, Vicis is restricted from selling any of the Issuer's capital stock for a period of 180 days following the consummation of the Issuer's IPO on January 28, 2010. |
