Explanation of Responses:

1. The names of the persons filing this Form 3 are Platinum Long Term Growth IV LLC a Delaware limited liability company (Platinum IV) and Mark Nordlicht a United States citizen. Mr Nordlicht is the controlling person of Platinum IV. As a result Mr Nordlicht may be deemed pursuant to Rule 13d-3 of the Securities Exchange Act of 1934 to be a beneficial owner of all the shares of Common Stock directly or indirectly held by Platinum IV. By virtue of his position as the Managing Member of Platinum IV Mr Nordlicht has the sole power to vote and dispose of the securities of the Issuer including shares of Common Stock and derivatives to acquire Common Stock directly held by Platinum IV.

2. This Form 3 is being amended to report ownership by the Reporting Persons of Common Stock received from the Issuer in satisfaction of certain interest due on the $2,900,000 principal amount convertible note. The option to issue Common Stock in lieu of paying cash on interest due is at the option of the Issuer.
