Explanation of Responses:
1. Received in exchange for 1,992,000 shares of SuiteSpeed, Inc. common stock in connection with a merger agreement between the issuer and SuiteSpeed, Inc. dated August 10, 2005 (the "Merger Agreement"). Pursuant to the terms of the Merger Agreement, Mr. Wasik's shares of SuiteSpeed, Inc. common stock were converted into shares of issuer common stock at a conversion rate of 9.5631.
2. Pursuant to the terms of the Merger Agreement, Mr. Wasik was issued 6,183,870 shares in satisfaction of an outstanding promissory note evidencing a debt from SuiteSpeed, Inc. to Mr. Wasik, in the principal amount of $170,000, plus all accrued and unpaid interest owing under such note as of the closing date of the Merger Agreement. The value per share of issuer common stock issued in satisfaction of the note was the average of high and low bid prices for each of the last five trading days ending two days prior to the closing date of the Merger Agreement.
