Explanation of Responses:
1. The option is immediately exercisable and fully vested as of January 17, 2005.
2. The option vests and becomes exercisable with respect to 25% of the shares one year after the date of grant and thereafter continues to vest and become exercisable as to 1/36th of the remaining shares each month thereafter.
3. As of the last vesting date, 25,498 of the shares are vested and exercisable. The remaining shares vest and become exercisable in equal monthly installments through July 1, 2006.
4. The award vests over a period of three years in equal yearly installments.
