Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 29, 2010, Curtis S. Lane resigned as a Director of IASIS Healthcare Corporation (“IAS”), sole member of IASIS Healthcare LLC (the “Company”). Mr. Lane’s resignation was not due to any disagreement with the Company on any matter relating to IAS’ or the Company’s operations, policies, or practices. Mr. Lane has indicated his intent to continue to attend meetings of the Board of Directors in an advisory role.
