Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 31, 2010, Douglas P. Archbold retired as Senior Vice President and Chief Credit Officer of American Patriot Financial Group, Inc. (the “Company”), effective immediately. Mr. Archbold has agreed to continue to provide consulting services to the Company at his regular salary rate.
