Item 8.01 Other Events
     On January 30, 2006, Collegiate Funding Services, Inc. (the “Company”) announced that it will hold a special meeting of the stockholders on Tuesday, February 28, 2006, for the purpose of adopting the Agreement and Plan of Merger, dated December 14, 2005, among JPMorgan Chase Bank, National Association, Cannon Acquisition Corporation and the Company.
     A copy of the press release issued by the Company on January 30, 2006 announcing the date of the special meeting is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
