Item 2.02 Results of Operation and Financial Condition

On May 5, 2022, Hercules Capital, Inc. (the “Company”) issued a press release announcing its earnings for the quarter ended March 31, 2022. The text of the press release is included as an exhibit to this Form 8-K.

On May 3, 2022, the Company announced that its Board of Directors has declared a quarterly distribution of $0.33 per share and a supplemental dividend of $0.15 per share. Each dividend will be paid to stockholders on the date and in such amounts as set forth below. The texts of the press releases are included as exhibits to this Form 8-K.
