Explanation of Responses:
1. Corsair Select, L.P. ("Corsair Select") directly owns 1,517,105 shares after its sale of 69,321 shares of common stock.
2. Corsair Management, L.L.C. ("Corsair Management") is the investment manager of Corsair Capital Partners, L.P., Corsair Capital Investors, Ltd., Corsair Select, Corsair Capital Partners 100, LP and Corsair Long Short International, Ltd. (the "Funds") and the manager of other separate accounts. Messrs. Petschek and Major are the controlling persons of Corsair Management. Therefore, each of Corsair Management, Mr. Petschek and Mr. Major may be deemed to share beneficial ownership of the 5,517,864 shares (including the shares described in Note 1 above) beneficially owned by the Funds and the other accounts separately managed by Corsair Management after the sales reported in this Form 4.
3. Jay Petschek has a pecuniary interest in an additional 52,300 shares of common stock that he manages through separate accounts.
4. Steven Major has a pecuniary interest in an additional 80,900 shares of common stock that he manages through separate accounts.
5. Pursuant to Rule 16a-1(4) promulgated under the Securities Exchange Act of 1934, as amended, each of the Reporting Persons herein states that the filing of this Form 4 and the statements made herein shall not be deemed an admission that he or it is the beneficial owner of any of the securities covered by this Form.
