Explanation of Responses:

1. Represents transfer of shares to spouse.

2. The shares are held by the Nathaniel F. Bradley IV Revocable Living Trust, of which Mr. Bradley is the trustee.

3. The shares are held by the Lisa R. Bradley Revocable Living Trust, of which Lisa R. Bradley, Mr Bradley's spouse, is the trustee.

4. The trust is for the benefit of Mr. Bradley's adult child and Mr. Bradley is co-trustee with his spouse.

5. Mr. Bradley disclaims beneficial ownership of these securities and the filing of this report is not an admission that Mr. Bradley is the beneficial owner of these securities for purposes of Section 16 or for any other purpose. The trust is for the benefit of Mr. Bradley's heirs and Mr. Bradley's spouse is the sole trustee.
