EXPLANATORY NOTE

This Post-Effective Amendment No. 1 to those certain Registration Statements on Form S-8 (Registration Nos. 333-195948; 333-190138; 333-168597; 333-151659; 333-137933; 333-131457; 333-116369; 333-115311; and 333-112238) is being filed under the Securities Act of 1933, as amended (the “Securities Act”) by Tessera Holding Corporation (f/k/a Tempe Holdco Corporation), a Delaware corporation (the “Registrant”), as successor registrant to Tessera Technologies, Inc. (“Tessera”), and relates to the registration of shares of common stock, par value $0.001 per share, of the Registrant (“Registrant Common Stock”) to be offered and sold under Tessera’s plans and awards assumed by the Registrant.

On December 1, 2016, pursuant to the Agreement and Plan of Merger, dated as of September 19, 2016, by and among the Registrant, Tessera Technologies, Inc. (“Tessera”), Tempe Merger Sub Corporation (“Parent Merger Sub”), Arizona Merger Sub Corporation (“DTS Merger Sub”) and DTS, Inc. (“DTS”), among other things, Parent Merger Sub merged with and into Tessera (the “Parent Merger”), with Tessera surviving the Parent Merger as a wholly owned subsidiary of the Registrant.

In connection with the Parent Merger, each outstanding share of common stock, par value $0.001 per share, of Tessera (“Tessera Common Stock”) was converted into an equivalent corresponding share of Registrant Common Stock having the same designations, rights, powers and preferences and the qualifications, limitations and restrictions as the corresponding share of Tessera Common Stock being converted. Additionally, in connection with the Parent Merger, (i) each outstanding option to purchase shares of Tessera Common Stock was assumed by the Registrant and converted into an option to purchase shares of Registrant Common Stock, (ii) each outstanding share of Tessera restricted stock was assumed by the Registrant and converted into an award of Registrant restricted stock and (iii) each outstanding Tessera restricted stock unit award was assumed by the Registrant and converted into a Registrant restricted stock unit award, in each case with substantially the same terms and conditions as applied to such Tessera equity awards immediately prior to the effective time of the Parent Merger.

Section 145 of the General Corporation Law of the State of Delaware (the “DGCL”) authorizes a court to award, or a corporation’s board of directors to grant, indemnity to officers, directors and other corporate agents in terms sufficiently broad to permit such indemnification under certain circumstances and subject to certain limitations.

Our bylaws provide that we shall indemnify each of our directors and officers to the maximum extent and the manner permitted by the DGCL, including in circumstances in which indemnification is otherwise discretionary under Delaware law. Our certificate of incorporation also provides that we shall indemnify each of our directors and officers to the fullest extent permitted by the DGCL. In addition, we intend to enter into separate indemnification agreements with our directors, officers and certain employees to indemnify them against certain liabilities which may arise by reason of their status as directors, officers or certain other employees. We also intend to maintain director and officer liability insurance, if available on reasonable terms.

These indemnification provisions and the indemnification agreements entered into between us and our officers and directors may be sufficiently broad to permit indemnification of our officers and directors for liabilities (including reimbursement of expenses incurred) arising under the Securities Act.
