Explanation of Responses:
1. This is part of a cashless exercise of stock options where the amount of stock purchased equals the amount of stock sold promtly therafter.
2. The number of stock options originally granted on 12/07/1999 (11,670) and the exercise price of the stock options ($44.313), were converted in connection with a spin-off from Fluor Corporation based on a conversion ratio of 4.056. After the conversion, the amount of options became 47,329, and the exercise price became $10.926.
3. These options vested and became exerciseable beginning on 12/7/2003, unless accelerated if certain stock criteria are met.
4. Consideration for these options is in the form of labor performed for or services actually rendered to Massey Energy Company, having a fair value of not less than the present fair market value of a like number of options of the Common Stock of Massey Energy Company.
5. Reporting Person previously exercised 10,000 of his 47,329 stock options from the 12/07/1999 award on 12/06/2001.
