Explanation of Responses:
1. Includes four additional shares that inadvertently were not included in prior reports.
2. These stock appreciation rights were granted on November 1, 2001 pursuant to an employment agreement. On April 30, 2005 these stock appreciation rights vested and became exercisable.
3. Consideration for these stock appreciation rights is in the form of labor performed for or services rendered to Massey Energy Company, having a fair market value of of not less than the present fair market value of a like number of stock appreciation rights of the Common Stock of Massey Energy Company.
4. The grant of stock options to which this cashless exercise of stock options is a part was made on December 29, 2005. One quarter of these options vested and became exercisable on November 17, 2006, one quarter of these options vested and became exercisable on November 17, 2007, one quarter of these options will vest and become exercisable on November 17, 2008, and the remaining quarter will vest and become exercisable on November 17, 2009.
5. Consideration for these options is the form of labor performed for or services rendered to Massey Energy Company, having a fair market value of not less than the present fair market value of a like number of options of the Common Stock of Massey Energy Company.
6. The grant of stock options to which this cashless exercise of stock options is a part was made on December 27, 2006. One third of these options vested and became exercisable on November 12, 2007, one third of these options will vest and become exercisable on November 12, 2008, and one third of these options will vest and become exercisable on November 12, 2009.
7. The grant of stock options to which this cashless exercise of stock options is a part was made on December 28, 2006 and vested on December 28, 2007.
