Explanation of Responses:
1. The option is fully exercisable from its October 12, 2001 date of grant and vests at the rate of 1/48th of the shares on September 1, 2001 and each one month anniversary thereafter.
2. On June 26, 2003, the Reporting Person was granted an option to purchase 550,000 shares of Common Stock, of which 208,333 have been exercised. The option is fully exercisable from the date of grant and vests at the rate of 18/48ths of the shares on February 1, 2003 and as to 1/48th of the shares on March 1, 2003 and each one month anniversary thereafter.
3. The option is fully exercisable from its March 10, 2004 date of grant and vests at the rate of 1/4th of the shares on February 27, 2005 and as to 1/48th of the shares on each one month anniversary thereafter.
4. The option is fully exercisable from its July 19, 2005 date of grant and vests at the rate of 1/48th of the shares on July 1, 2005 and each one month anniversary thereafter.
