Explanation of Responses:

1. This number reflects the reporting person's total direct holdings of Common Stock and includes 630 shares acquired under the Trimeris, Inc. employee stock purchase plan on 5/31/03.

2. As previously reported, in 2001 the reporting person purchased 3,500 shares of TRMS stock on the open market for the benefit of a charitable remainder trust of which the reporting person is a trustee and of which the reporting person is a beneficiary until his death. The reporting person continues to report beneficial ownership of all of the TRMS common stock held by the trust, but disclaims beneficial ownership except to the extent of his pecuniary interest therein.
