| 1. This Form 4 is jointly filed by the Bekem Metals, Inc. Voting Trust dated April 14, 2006 and Mr. Marat Cherdabayev, the CEO and a director of Bekem Metals, Inc. On April 14, 2006, certain shareholders of Bekem Metals, Inc., entered into the Bekem Metals, Inc. Voting Trust Agreement dated April 14, 2006 and agreed to deposit their shares into the Bekem Metals, Inc. Voting Trust. Mr. Cherdabayev was appointed as Trustee of the Voting Trust. As the Trustee of the Voting Trust, Mr. Cherdabayev may be deemed to have voting and investment power over the shares held in the Voting Trust. Mr. Cherdabayev disclaims beneficial ownership of such securities except to the extent of his pecuniary interest, if any, and this report shall not be deemed an admission that the Mr. Cherdabayev is the beneficial owner of all of the reported shares for purposes of Section 16 or any other purpose. |
