1. All of the price and share data reported on this Form give effect to a 1-for-10 reverse stock split of the issuer's common stock, which stock split became effective on October 10, 2005.

2. The securities reported on this Form (shares of common stock and warrants exercisable for common stock) were sold to the reporting person as a unit consiting of 1 share of common stock and a warrant exercisable for 1 share of common stock for a price of $3.00 per unit (on a split-adjusted basis).
