ALLIED WORLD ANNOUNCES RECORD DATE FOR SPECIAL MEETING OF SHAREHOLDERS AND EARLY TERMINATION OF HART-SCOTT-RODINO ACT WAITING PERIOD
ZUG, Switzerland, July 13, 2011 – Allied World Assurance Company Holdings, AG (NYSE: AWH) announced today that it has established a record date of July 22, 2011 for an extraordinary general meeting of its shareholders (the “Special Meeting”) to consider and vote on proposals related to the previously announced agreement and plan of merger, dated as of June 12, 2011, by and among Allied World, GO Sub, LLC and Transatlantic Holdings, Inc. (NYSE:TRH).
Allied World shareholders of record as of the close of business on Friday, July 22, 2011 will be entitled to receive the notice of, and to vote at, the Special Meeting. The meeting date for the Special Meeting has not yet been determined.
Allied World also announced today the early termination of the antitrust waiting period under Hart-Scott-Rodino in connection with the proposed merger.
