1. Because Mr. Perlmutter did not dispose of any of the shares of Common Stock of the Issuer ("Common Stock") acquired by him in the transactions reported on this Form 4, the number of shares of Common Stock beneficially owned by Mr. Perlmutter did not change as a result of these transactions. Mr. Perlmutter beneficially owns 21,692,941 shares of Common Stock. This figure includes (i) 8,553,309 shares of Common Stock underlying options and warrants and (ii) 13,139,632 outstanding shares of Common Stock, including the 470,708 shares of Common Stock listed in Column 5 of Table I. See Exhibit 99.2 for details.
2. Granted pursuant to Issuer???s 1998 Stock Incentive Plan as compensation for serving as a director of Issuer.
3. The option vested in three equal annual installments beginning on November 11, 1998 and became fully vested on November 11, 2000.
4. The option became fully vested on January 15, 2001.
