Archipelago Holdings, Inc. (the “Company” or “Archipelago”) is filing pursuant to Item 8.01 of Form 8-K, the transcript of its earnings conference call held on April 21, 2005 at 12:00pm (EST), which is attached as Exhibit 99.1 to this report and incorporated herein by reference.

 

IMPORTANT MERGER INFORMATION

 

In connection with the proposed merger of Archipelago and the NYSE, the parties intend to file relevant materials with the Securities Exchange Commission (“SEC”), including a joint proxy statement/prospectus regarding the proposed transaction. Such documents, however, are not currently available.
