1. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $26.65 to $26.77. The reporting person undertakes to provide to Moody's Corporation, any security holder of Moody's Corporation, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in this footnotes 1 and 2 to this Form 4. |
2. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $27.25 to $27.42. |
3. 12,695,850 of these shares are owned by National Indemnity Company ("NICO"), and 15,719,400 of these shares are owned by Government Employees Insurance Company ("GEICO"). GEICO is a subsidiary of GEICO Corporation, and GEICO Corporation is a subsidiary of NICO. NICO is a subsidiary of OBH LLC ("OBH"). OBH is a subsidiary of Berkshire Hathaway Inc. ("Berkshire"). |
4. As OBH and Berkshire are each in the chain of ownership of NICO and GEICO, each of Berkshire and OBH may be deemed presently to both beneficially own and have a pecuniary interest in all shares of Moody's Corporation common stock presently owned by NICO and GEICO. As GEICO is in the chain of ownership of NICO, NICO may be deemed presently to both beneficially own and have a pecuniary interest in all shares of Moody's Corporation common stock presently owned by GEICO. Warren E. Buffett, as the controlling stockholder of Berkshire, may be deemed presently to beneficially own, but only to the extent he has a pecuniary interest in, the shares of Moody's Corporation common stock presently owned by NICO and GEICO. Mr. Buffett disclaims beneficial ownership of the reported securities except to the extent of his pecuniary interest therein. |
