Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(b) On December 3, 2008, David Zinsner resigned his position as Sr. Vice President and Chief Financial Officer to pursue another opportunity. Mr. Zinsner will remain employed by and continue to work with the Intersil management team through a transition period.

(c) Effective immediately, Jonathan Kennedy has been appointed interim Chief Financial Officer. A copy of the press release is furnished as Exhibit 99.1 to this report pursuant to Item 5.02.
