Explanation of Responses:

1. The securities were returned to the Issuer and cancelled under the terms of an asset purchase agreement by and between the Issuer and the Reporting Person effective March 15, 2006.

Remarks:

The Reporting Person resigned as officer and director of the Issuer following the closing of the asset purchase agreement effective March 15, 2006 and pursuant to the terms of a share exchange agreement by and among the Issuer and Online Vacation Center Holdings, Inc.
