Explanation of Responses:
1. Reflects 25,508 shares previously held through W. P. Carey International LLC ("WPCI") that were transferred to Carey Asset Management Corp. ("CAM") on 6/24/2010 ("the WPCI Shares") and a total of 182,929 shares held through CAM (inclusive of the WPCI Shares) that were transferred to an affiliate of Carey REIT II, Inc. ("CRII") on 6/25/2010 and to CRII on 6/28/2010.
2. The reporting person disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein, and this report shall not be deemed an admission that the reporting person is the beneficial owner of the securities for purposes of Section 16 or for any other purpose.
3. The share amount reported has been adjusted to reflect a pro rata distribution to a minority shareholder of WPCI. As permitted by the applicable Section 16 rules, the reporting person's prior Section 16 reports have included all shares owned by WPCI, including shares attributable to WPCI's minority shareholders. The reporting person continues to disclaim beneficial ownership of the shares held by WPCI except to the extent of his pecuniary interest therein.
