Explanation of Responses:
1. Grant of restricted shares of Class A common stock pursuant to the Company's tender offer on March 10, 2003 under Section 13(E)(1) of the Securities and Exchange Act of 1934. All the shares will become fully vested and unrestricted on the 4th anniversary of the date of the grant.
2. Grant of options under the Employee Stock Plan, exempt under the Rule 16b-3, including rights to have shares withheld in satisfaction of tax withholding obligations. All the options have vested as of the date of this filing.
3. Grant of stock appreciation rights under the Employee Stock Plan, exempt under the Rule 16b-3. All the stock appreciation rights have vested as of the date of this filing.
