OTHER EVENTS
 
Dollar Thrifty Automotive Group, Inc., a Delaware corporation (“DTG” or the “Company”), has scheduled August 18, 2010 as the date for its upcoming special meeting of stockholders and set the close of business on July 16, 2010 as the record date for stockholders entitled to receive notice of and to vote at that meeting.  As previously announced, on April 25, 2010, DTG, Hertz Global Holdings, Inc. (“Hertz”), and HDTMS, Inc., a wholly owned subsidiary of Hertz, entered into an Agreement and Plan of Merger, providing for the merger of HDTMS, Inc. with and into DTG, with DTG surviving the merger as a wholly owned subsidiary of Hertz in exchange for cash and Hertz common stock.  At the special meeting, DTG stockholders will vote on, among other items, the proposal to adopt the merger agreement between the Company, Hertz and HDTMS, Inc.
 
In addition to stockholder approval, the transaction is subject to the joint proxy statement/prospectus filed with the Securities and Exchange Commission being declared effective, as well as customary closing conditions.
