1. Black River Small Capitalization Fund Ltd. ("Small Cap") is the direct beneficial owner of 19,047,619 shares of common stock of the Issuer, and is a member of a "group" with Black River Commodity Select Fund Ltd. ("Commodity Select") for purposes of Section 13(d) of the Securities Exchange Act.

2. Commodity Select is the direct beneficial owner of 14,285,714 shares of common stock of the Issuer

3. Black River Asset Management LLC ("Black River"), a registered investment adviser, has investment and voting power with respect to the shares of the Issuer's common stock held by Small Cap and Commodity Select but disclaims beneficial ownership of such securities
